Pristine Bay is a destination resort, spa and private villa complex on Roatan Island, a part of the Bay Islands of Honduras in the Western Caribbean. It fronts on a 1000 foot private white sand beach with a Beach and Tennis Club on one side, a future marina complex on the other side and backed up to the Pete Dye Championship Golf Course called “The Black Pearl”. Thirty twobedroom freestanding villas, many with private pools, known as The Resort Villas at Pristine Bay, are now being constructed and will surround The Resort & Spa which will be the finest luxury destination resort in the Central American area of the Western Caribbean. |

The Resort & Spa will feature sixty rooms and suites, a full service spa, restaurants, bars, two large infinity edge pools in addition to the private tennis club and access to the Black Pearl Golf Course. The free standing villas will all have fabulous views of the beach, the Caribbean with the
reef some 500 yards offshore and sunsets to the southwest. Each villa will have large stone verandas, partly shaded by pergolas, many with their own infinity edge pools (see the SITE PLAN and FLOOR PLANS). |

Each Villa is fully air conditioned and features two large bedrooms and a “Great Room” for entertaining, dining and lounging. All villas have Honduran Mahogany trim, terra cotta flat tile roofs, travertime marble bathrooms (some with indoor/ outdoor showers) and are fully furnished
with custom designed furnishings and soft goods, art and high quality appliances and fixtures. The exterior features white plaster with mahogany
trim, custom designed shutters with 8 inch louvers and lush landscaping including Bougainville and palm trees extensively lighted (see RENDERINGS). |

The Resort Villas at Pristine Bay also benefit from extensive investment in infrastructure which includes fresh water storage cisterns as a backup water supply and electrical generator capacity that can provide un-interrupted electrical service for the entire complex in the event of a disruption of the public electric distribution system. In addition, all structures are engineered to withstand hurricane force winds (rare this far south) and are well elevated above the beach which provides better vistas. The grounds will be heavily landscaped with extensive landscape lighting, paved walking and electric cart paths, flowerbeds and lush tropical plantings. |

Roatan has a stable, business-friendly government. In addition, the Pristine Bay complex is a master-planned community with 24 hour manned
security entrances. Roatan enjoys an excellent airport with direct air service with full size jets from Continental, Delta and Taca (currently from
Houston, Newark and Atlanta) and thus provides enviable and convenient access. |
VILLA PRICING
There are three basic Villa designs all with two bedrooms, two baths, greatroom (living, dining, kitchen), covered porches and verandas with and
without pools. Villa A is a single story configuration and Villas B and C are two stories (see FLOOR PLANS and RENDERINGS). All Villas have 1,500 to 1,600 air conditioned square feet and 1,000 to 1,500 square feet of porch and veranda space for a total square footage of 2,500 square feet to 3,100 square feet. Prices range from $825,000 to $895,000 fully furnished. |

Only 30 fully-furnished beachfront villas will be included in the Resort & Spa at Pristine Bay. All of the interiors of the resort villas are an extension of the Caribbean with high white-washed ceilings with stained wood trusses, French doors, and lush landscaping of the island’s tropical splendor. A destination spa and a private beach offer relaxation in any style for every guest. The villas will range in size from 2500 to 3100 square feet. Each villa is sited within the cascading hillsides, affording each a breathtaking view of the beach, Caribbean, and sunset. Infinity edge pools only add to their elegance. There are three different floor plans, providing flexibility for guests. |

OWNERSHIP STRUCTURE
Ownership will be in fee with a leasehold interest in the common areas surrounding the Villas and the Resort & Spa. Owners will have full access to the beach, tennis club, golf course (subject to tee time reservations), spa and all resort amenities of the Resort. Owner usage will be restricted to a maximum of sixty-five (65) days per calendar year. The Resort & Spa as well as the Villas, will be managed, operated and marketed by Destination Resorts Ltd., a Cayman chartered company which also manages the Victoria House Resort on Ambergris Caye in Belize, one of the most successful and highly-rated resorts in Central America and the Western Caribbean. Destination Resorts also manages Casa Encantada, a boutique property in Antigua, Guatemala. Destination Resorts is headed by J. William Sharman, Jr., who has been involved in numerous hotel and resort developments, acquisitions, operations and dispositions for over twenty-five years throughout the U. S., the Caribbean, and Central America. Mr. Sharman also serves as Chairman and CEO of the Lancaster Group, Inc. and was a founder of Small Luxury Hotels of the World. |
OWNER RETURNS
All Resort Villa revenue will be pooled and allocated to each individual villa based on the published rate (with or without a pool) and owner usage. All expenses will be allocated on the same percentage basis as that actually incurred by the Resort & Spa. Based on actual historical data at other Destination Resorts managed properties, owner net distributable returns are projected below. By way of comparison, the owners of two bedroom Villas at Victoria House on Ambergris Caye in Belize achieved occupancies and returns of 73.0% and $50,010
in Net Revenues in 2007, 80% and $73,245 in 2008, and 67% and $50,150 in 2009. |
